Acceptance of terms

By accessing or using any Muqira product, website, or service, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you may not use our services. If you are using our services on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these terms. In that case, "you" and "your" refer to that entity.

Description of services

Muqira Technologies ("Muqira", "we", "our", "us") is a company registered in India, headquartered in Mumbai, Maharashtra. Muqira provides a portfolio of digital products and services including SEOventra, AlShorty, Documateo, Muqira AI, and the Muqira Free Tools library, along with associated APIs and platforms (collectively, "Services"). Each product may have additional terms of service specific to that product. In the event of a conflict, the product-specific terms take precedence for that product.

Accounts

To access certain Services, you must create an account. You agree to: • Provide accurate, current, and complete information during registration • Maintain and promptly update your account information • Keep your login credentials confidential and not share them with any third party • Notify us immediately of any unauthorised access or security breach at [email protected] • Accept responsibility for all activities that occur under your account You must be at least 16 years old (or the minimum age of digital consent in your country) to create an account. We do not knowingly collect data from children under 13.

Subscriptions and billing

Paid Services are billed on a subscription basis ("Subscription Period"). By subscribing, you authorise Muqira (via our payment processor, Razorpay) to charge your payment method at the start of each Subscription Period. Taxes: Prices for customers billed in India are subject to Goods and Services Tax (GST) at the applicable rate, shown separately at checkout and on your invoice. Muqira's GST registration number will be published here once registration is complete: GSTIN — [pending registration]. Customers billed outside India may be subject to their local tax obligations; see our Refund and Cancellation Policy and Terms for details. Auto-renewal: Subscriptions automatically renew at the end of each Subscription Period unless you cancel before the renewal date. Prices are locked for the current period; changes take effect at renewal and will be communicated at least 30 days in advance. Refunds: See our Refund and Cancellation Policy for full details on eligibility and process. Free trials: Any free trial offer is subject to the specific terms stated at sign-up. At the end of a free trial, a paid subscription begins automatically unless cancelled before the trial ends. Failed payments: If a payment fails, we will retry up to three times over 7 days. Continued failure may result in suspension of your account until payment is resolved.

Acceptable use

You agree not to use our Services to: • Violate any applicable law, regulation, or third-party rights • Infringe intellectual property rights of any party • Transmit spam, phishing content, malware, or unsolicited communications • Attempt to gain unauthorised access to our systems or another user's account • Reverse-engineer, decompile, or disassemble any part of our Services • Scrape, crawl, or extract data from our Services through automated means without prior written consent • Use our Services to build a competing product • Engage in any activity that degrades service performance or availability for other users • Upload, store, or process content that is illegal, harmful, abusive, defamatory, or violates any person's privacy We reserve the right to suspend or terminate accounts that violate these terms without notice.

Intellectual property

Muqira and its licensors own all intellectual property rights in our Services, including software, logos, trade marks, designs, and content. Nothing in these terms transfers ownership of any intellectual property to you. You are granted a limited, non-exclusive, non-transferable licence to use our Services solely for your internal business or personal purposes, in accordance with these terms. You retain ownership of any content you upload to our Services ("Your Content"). By uploading content, you grant Muqira a limited, worldwide, royalty-free licence to store, process, and display Your Content solely as necessary to provide the Services to you.

Data and privacy

Our collection and use of your personal data is governed by our Privacy Policy, which forms part of these Terms. By using our Services, you consent to our data practices as described therein. For business customers, we will enter into a Data Processing Agreement (DPA) on request where we process personal data on your behalf. Contact [email protected] to request a DPA.

Availability and SLA

We aim for high availability across all Muqira products but do not guarantee uninterrupted service. We may schedule maintenance windows and will provide advance notice where practicable. Our Services are provided "as is" and "as available" without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our Services will be error-free or completely secure.

Limitation of liability

To the fullest extent permitted by applicable law: • Muqira's total liability to you for any claim arising from these terms or your use of our Services shall not exceed the amount you paid to Muqira in the 12 months immediately preceding the event giving rise to the claim, or USD $100, whichever is greater. • Muqira will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities, even if Muqira has been advised of the possibility of such damages. Nothing in these terms excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law.

Indemnification

You agree to defend, indemnify, and hold harmless Muqira, its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, and costs (including reasonable legal fees) arising out of or relating to your violation of these terms, your use of the Services, or your infringement of any third-party rights.

Governing law and disputes

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law provisions. The courts of Mumbai, Maharashtra shall have exclusive jurisdiction over any dispute arising from these Terms, subject to the carve-outs below. For users in the European Union: Nothing in these terms affects your rights as a consumer under EU law. You may also use the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr. For users in the United States: Any disputes shall be resolved by binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction. Class action waiver: you waive the right to participate in any class-action lawsuit or class-wide arbitration. Termination

You may terminate your account at any time through your account settings or by contacting [email protected]. Termination does not entitle you to a refund except as provided under Section 4 (Subscriptions and billing). We may suspend or terminate your account immediately and without notice if you materially breach these terms, engage in conduct we determine to be harmful to us or other users, or if we are required to do so by law. Upon termination, your right to access the Services ceases. Provisions of these terms that by their nature should survive termination will survive, including intellectual property, limitation of liability, and governing law.

Changes to terms

We may update these terms from time to time. We will notify you of material changes via email (at least 30 days' notice for changes that affect your rights) and by posting a notice on our website. Continued use of our Services after the effective date of changes constitutes your acceptance of the new terms. If you do not agree to the revised terms, you must stop using the Services before they take effect.
